There have been various lawsuits filed requesting courts to enjoin the enforcement of the CTA. Without getting deeply into the decisions, at the present time FINCEN has extended the time for compliance until January 13, 2025 and the Fifth Circuit Court of Appeals has allowed the U.S. district Court’s injunction prohibiting enforcement of the CTA. Presently, companies are not required to comply with the reporting requirements of the CTA. Those requirements include reporting beneficial ownership interests (“BOI”) of each nonexempt company.

The decision of the Federal District Court is being appealed. Whether the decision will be affirmed or reversed is unknown.

While the nationwide injunction currently pauses enforcement of BOI reporting requirements, the fluid nature of the ongoing litigation means entities should not assume permanent relief. Monitoring updates from courts and FinCEN is critical to ensuring compliance if and when the requirements are reinstated.
